These Terms of Service ("Terms") govern your use of B2B Agency Live at b2bagencyliveai.com (the "Service"), operated by B2B Agency Live AI ("we", "us"). By using the Service or subscribing, you agree to these Terms. If you don't agree, please don't use the Service.

1. What the Service is

B2B Agency Live is an all-in-one AI platform for small businesses. You describe what you want and the AI builds it: websites, online stores and small web apps, with a live preview. The same account lets you publish and host your website, take bookings, orders and card payments (into your own Stripe account), run everyday services such as reservations, memberships and tickets, and create images, video, music, voice-overs, sound effects and other media with AI tools. You can preview, copy and download the code of anything you build. We also sell specific done-for-you products listed on our pages, such as commercials; for those, the product page describes what is delivered.

What we don't do: we are a software platform, not your agency. We don't manage your advertising or social media accounts, run campaigns, or guarantee rankings, traffic or sales. We don't run your scripts or host anything other than sites you publish with the Publish button. You are responsible for reviewing and testing what you build and what the AI produces (AI output can contain mistakes), for the accuracy of your business information, and for keeping your own copy of your work.

2. Free demo

Visitors can try the Service for free with 25 AI credits. There is no time limit: credits are used only when the AI does something, not while you look around. The first build needs no sign-up; to continue after it we ask for your email address and confirm it with a code we send there. That creates a Free plan account, saves your work to it, and lets us send you sign-in links, messages about your account and one reminder, which you can unsubscribe from. The demo is free every 24 hours: a new set of 25 credits becomes available 24 hours after the previous one is used up. When your credits first run out, we email you once (a message about your account) with a one-time extension: 25 more free credits, if you use the link within 7 days. Each email address can extend once. We limit the number of free demos per device and per internet connection, and may change or end the free demo at any time.

3. Plans and monthly AI allowance

Paid plans include the whole platform with a monthly allowance of AI credits, shown in the app as you use them: Starter ($9.92/month, 18,923 AI credits a month), Builder ($19/month, 38,990), Pro ($40/month, 85,400) and Max ($80/month, 173,800). Every plan is also available billed yearly at 25% off ($89, $171, $360 or $720 a year), with a smaller monthly allowance (16,141, 31,243, 66,050 or 132,350 AI credits). Each AI tool shows its approximate credit cost before you use it, and each tool also has a daily limit that grows with your plan (listed on our facts page). Website Hosting ($4.99/month) hosts one website you upload yourself (up to 25 MB) with the same publishing features (your own domain, forms, bookings, store checkout, visitor stats); it doesn't include the AI builder, an AI allowance or the AI receptionist. If you subscribed at an earlier price, your plan keeps working at that price with its own allowance. Bigger jobs (a whole website, video, long audio) use more credits than small ones. Allowances refresh on the 1st of each month (New York time). Unused credits roll over to the next month, up to one extra month's worth (so you can have at most two months of credits at once); rolled-over credits end if your plan ends. Each plan also has a daily fair-use limit on AI builder messages (50, 100, 200 or 400 a day) to prevent abuse. Top-ups you buy separately never expire and are used only after the month's allowance runs out. We may adjust plans, limits or the AI models we use; if we raise the price of your plan we will give you at least 30 days' notice, and you can cancel before the change takes effect.

4. Billing, renewal and cancellation

Your first payment is covered by a 14-day money-back guarantee (see the Refund Policy). Payments are processed by Stripe. Your subscription renews automatically at the end of each billing period (every month, or every year on the yearly plan) and your payment method is charged until you cancel. For the yearly plan we email you a reminder with the renewal date and price about 30 days before each renewal. You can cancel at any time from the workspace (Manage billing / cancel); you keep access until the end of the period you have paid for, and you won't be charged again. Your plan renews at the price you signed up at; there is no introductory price that goes up at renewal (any future price change follows the 30-day notice in section 3). Prices are in US dollars and may exclude taxes, which are added where required. See our Refund Policy for refunds.

5. Your content and the code you generate

You keep ownership of what you put into the Service (your prompts, files and images) and, to the extent the law allows, of the code and text the Service generates for you. We don't claim ownership of either. AI output may be similar to output generated for other users and is not guaranteed to be unique. You give us permission to process your content only as needed to run the Service (for example, sending it to our AI provider to generate a reply).

6. AI output: please check it

AI-generated code, text, images, music and video clips can contain mistakes, security weaknesses or content that isn't suitable for your use. AI images, music and video clips may resemble what other people receive, a video clip can come out wrong and need making again, and music carries an inaudible mark showing it was made by AI. You are responsible for reviewing and testing everything before you use or publish it, and for making sure your website or software complies with the laws that apply to you (for example privacy, accessibility and consumer-protection laws). Nothing the Service produces is legal, financial or professional advice.

7. Acceptable use

You agree not to use the Service to:

• break the law or help others do so;
• create malware, phishing pages, spam tools, or anything designed to deceive, defraud or harm people;
• infringe other people's intellectual property or privacy;
• attempt to bypass limits, access other users' data, or disrupt or overload the Service;
• resell, share or automate access to your account, or scrape the Service.

We may suspend or end access for anyone who breaks these rules. Where the breach is serious (for example fraud or abuse), no refund is due.

8. Published sites

Free plan: with an account by email and no subscription, you can keep one site online at a web address we provide, with a small "Made with B2B Agency Live AI" link and a working contact form. Bookings, card checkout, the AI receptionist, your own domain and the AI tools are not included. Free AI (the demo) is shared between all free users and may be unavailable for the rest of a month once that month's free allowance has been used; published free sites stay online. We may take down free sites that break these terms or have had no visitors for a long time.

Subscribers can publish their projects as websites at a web address we provide (shown in the Publish window). Your plan sets how many sites you can have online at once (Starter 1, Builder 3, Pro 10, Max 50). About published sites:

• "Made with" link: sites published on the Starter, Builder and Website Hosting plans show a small "Made with B2B Agency Live AI" (or "Hosted by") link in a corner of each page. Sites on the Pro and Max plans do not show it.
• They are public. Anyone with the address can see everything you publish. Don't publish passwords, API keys or private information.
• You are responsible for their content and for following the laws that apply to your site (for example consumer, privacy and advertising rules).
• Not allowed: anything in section 7, pages that collect passwords, card numbers or other sign-in or payment details (use a Stripe payment link or checkout button for payments), impersonating other people or companies, and adult, hateful or violent content. We block some of this automatically.
• Addresses: first come, first served. We may refuse or reclaim addresses that are misleading or use other companies' brand names.
• Form messages: contact forms on your published site send visitors' messages to your email. You are responsible for how you use that information (for example answering only what they asked for, and following privacy and anti-spam laws). We limit messages per site to prevent abuse.
• Card payments in your store: you can connect your own Stripe account so shoppers pay by card on your published store. Buyers pay your Stripe account directly, and Stripe's own terms and processing fees apply to you. We don't charge a platform fee on your store sales on any plan; Stripe's own card processing fees still apply. You are the seller: refunds, disputes, taxes and delivering what you sell are your responsibility. Card details are entered on Stripe's checkout page and never reach us.
• AI receptionist: if you switch on the chat assistant for a published site, it answers visitors using your site's content and your notes. It is an AI and can be wrong, so keep your site and notes accurate; you are responsible for what your site says and for following up on messages it takes for you. Its answers use your plan's monthly AI allowance (up to half of it); when that share is used up, the bubble asks visitors to use your contact form instead.
• Buying a domain from us: we register domains through our registrar partner, Dynadot, in your name: you are the registrant and legal owner, and you must give accurate contact details (registries require them and may suspend domains with false details). Privacy protection is included, so your details stay hidden from the public directory. The price shown is per year and stays the same at renewal; it renews automatically each year until you cancel the renewal, and then the domain stays yours until its expiry date. Because a registration can't be undone, domain fees are non-refundable once the domain is registered, except that if we can't register it, we refund you in full automatically. You can transfer your domain to another provider at any time (email support@b2bagencyliveai.com for the transfer code). The registrar's registration agreement and the registry's rules also apply.
• Your own domain: you may connect a domain you own or control. We connect it only after its DNS points to us, and we disconnect it when you disconnect it or unpublish the site. Buying and renewing the domain stays your responsibility.
• Removal: we may take down any published site that breaks these Terms or that we are legally asked to remove, with or without notice. Report a site to support@b2bagencyliveai.com.
• When your plan ends (cancellation, refund or unpaid renewal), your sites go offline at the end of the period you paid for. Sign in with your email and your account moves to the Free plan: your first site comes back online at its b2bagencyliveai.com address, with the small "Made with" link and a working contact form (bookings, card checkout and your own domain need a paid plan). All your sites come back if you subscribe again while we still keep them. You can download your site's files at any time and host them anywhere you like, and you can unpublish a site at any time.
• We keep published sites running on our hosting providers but don't guarantee they will always be available, and we may set reasonable size and traffic limits.

8A. Advertising in the Business Showcase

Anyone can advertise a business in our Business Showcase. Subscribers with a published site can also have one free listing. About ads:

• Spots and prices: Featured in the Showcase ($1.99/week or $4.99/month; subscribers $2.99/month) and the homepage sponsored card ($2.99/week or $8.99/month; subscribers $6.99/month), as shown when you buy. These are launch prices, locked in forever for early advertisers: your ad keeps the price it was bought at for as long as it keeps running (it never goes up); if we change prices later, only new ads pay the new price. Launch offer: the first 10 paid Showcase or homepage ads get their first week free. Your card is saved at checkout and first charged 7 days later; cancel from your ad page before then and you pay nothing. Homepage ads are shared: up to 3 businesses take turns in the spot. Featured ads may also appear in the featured row on our homepage.
• Billing: paid ads renew automatically every week or month until you cancel. You can cancel at any time from your ad page: stop at the end of the paid period, or remove the ad now and get the unused days refunded.
• Review: we check every ad before it appears (an automatic check, then a person). You pay when you submit; if we don't approve the ad, we refund 100% and cancel the subscription. We may remove an ad later if it breaks these rules; then we refund the unused days of the current period, unless the breach is fraud or abuse.
• Not allowed: anything in section 7; crypto, NFT, forex or "get rich" offers; guaranteed-income claims; scams; adult content; weapons; gambling; drugs, vapes or CBD; medical or health claims; payday loans; hate; and using another company's name, logo or brand as your own. Your ad must be about your own real business, and the website must be yours.
• You are responsible for your ad: that it's true, that you have the rights to its text and pictures, and that it follows the advertising and consumer laws that apply to you.
• Labels: every paid ad is marked "Sponsored", and links in paid ads are marked as sponsored for search engines.
• Stats, no guarantees: your ad page shows views (each time a page showing your ad is opened, not counting our own tests and search-engine robots, and at most 20 a day from one person) and clicks to your website. We don't guarantee any number of views, clicks or customers.
• Free listings stay up while your plan is active and end when it ends.

8B. TV spot commercials

You can order a 1:30 (90-second) commercial for your business at tvspot.html ($9.99 per commercial; subscribers $4.99; Pro and Max plans include one free commercial each calendar month). The free commercial is used by ordering while signed in to a Pro or Max plan, when the price shows as free. It doesn't roll over to the next month and has no cash value, further commercials in the same month are charged at the subscriber price, and it is given back if we don't deliver within 10 hours. Each commercial includes one change request.

• How it's made: our AI writes the script only from the details you give us and produces the video with a computer voice, original music, motion graphics and short stock video clips of things that fit your business, chosen and checked by AI. Commercials don't show recognisable people or other brands; a clip may show hands. It doesn't invent reviews, awards, prices or claims.
• Delivery: within 10 hours of your order, by email and on your private order page, in three versions (HD, vertical 9:16, and TV-broadcast loudness). If we can't deliver within 10 hours, we refund you automatically (or give back your free monthly commercial).
• Your responsibility: the details must be true and about your own business, and you must have the right to use any logo you upload. You are responsible for following the advertising rules of the places where you run the commercial (TV stations, social media), including AI-content labels where they apply.
• Not allowed: the same businesses and claims as in section 8A (for example crypto, gambling, adult content, weapons, drugs, and health, financial or legal claims).
• Use: once delivered, you may use the commercial anywhere, for your business. Delivered commercials are not refundable, except where the law requires; if something is wrong with it, write to us and we'll fix it.

9. Accounts and security

Your access is tied to the email address you subscribe with. Keep access to that email secure, and tell us promptly if you think someone else is using your subscription.

10. Availability and changes

We work to keep the Service available, but we don't guarantee it will be uninterrupted or error-free, and it depends on third-party providers (such as our hosting, payment and AI providers). We may change, improve or remove features over time.

Uptime target and status: we aim for 99.9% uptime every month. Every main part of the Service is checked from the outside every 10 minutes, and the live status with 30 and 90 days of history is public on our status page. The target is a goal we measure ourselves against openly, not a guarantee.

11. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement.

12. Limitation of liability

To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

12A. AI top-ups and referral rewards

AI top-ups are one-time purchases of extra AI credit for your workspace. Top-up credit is used only after your plan's monthly AI allowance runs out, it doesn't expire while your account is open, and it can't be exchanged for cash. Message counts shown for a top-up are estimates for typical requests. Refunds follow our refund policy.

Referral rewards: if someone subscribes through your personal referral link and their first payment goes through, you receive account credit worth one month of your current plan (never more than what they paid), applied to your next bill. Referring yourself, or using fake or duplicate accounts, doesn't qualify. If the invited subscriber's first payment is refunded or disputed within 30 days, the reward is removed. Credit has no cash value. We may end the referral program at any time; rewards already earned stay on your account.

12A-2. Affiliate program

Anyone with an account may join the affiliate program from the Affiliate program page. Affiliates earn 40% of each plan payment (monthly or yearly) made by a customer they referred, for as long as that customer keeps paying. A referral counts when the customer signs up or subscribes within 90 days of using the affiliate's link; the first affiliate link a customer used wins, and it is tied to their account when they sign in. Add-ons, AI top-ups, packs and one-off purchases earn no commission, and no one can earn on their own account. Each commission is held for 30 days; a refund or card dispute removes it, and a commission already paid out for a refunded or disputed payment is subtracted from the next payout. Available commissions of at least $25 are sent on the 1st of each month to the affiliate's own Stripe account (Stripe's terms apply to that account). Spam, fake reviews, ads that bid on our brand name, misleading claims and self-referral are not allowed; breaking these rules ends the affiliate relationship and forfeits unpaid commissions. Affiliates are responsible for their own taxes. We may change the program with 30 days' notice; commissions already earned stay earned.

12B. Bring your own AI (OpenRouter)

Subscribers can connect their own OpenRouter account. OpenRouter then bills the AI usage made through the B2B workspace directly to that account, under OpenRouter's own terms and prices, and the plan's monthly AI allowance doesn't apply to it. For our builder, workspace hosting, publishing, storage and support we charge a workspace service fee of 10% of that OpenRouter AI usage, added to the next plan invoice each month (amounts under $0.50 carry over to the next month). This fee is for our service: we don't sell or resell AI access. You must accept these terms with the checkbox before connecting. Your OpenRouter key is stored encrypted, used only for your own requests in the B2B workspace, and deleted when you disconnect. You can switch it off or disconnect anytime; fees for usage already made stay due.

12C. Wallet credits, prizes and the wallet

AI credits come with your free demo or plan: one is used each time you ask the AI for something, and they can't be sent or cashed out. Wallet credits are the ones you buy as a top-up or win on the prize wheel: they never expire, they keep you building after your plan's AI credits run out (1 wallet credit ≈ 1 AI credit) or pay for our services, and the ones you bought can be sent to a friend or cashed out.

Wallet credits have no cash value and can't be sold or moved to another company. Cash-out (subscribers only): unused wallet credits you bought yourself can be cashed out as a partial refund to the card you paid with, minus a 10% fee, from 7 days after the purchase and while the payment can still be refunded (about 5 months), once a week, from $1.00. Prize credits, prize codes and credits received from other people can't be cashed out. Bought credits can be spent on our services in the wallet or sent to another person's account with no fee; credits bought or received in the last 7 days can't be sent yet. Prize-wheel credits and prize codes are bonuses for the winning email only and can't be sent. To keep credits fair for everyone we screen every credit that enters an account (payments, prizes, transfers): disposable or fake emails, abuse of multiple accounts, repeated devices, unusual transfers and payment disputes can lead to a request being refused, credits being held or removed, and the account being closed.

13. Ending your use, and what happens when you cancel

You can stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service (in which case we will refund any unused prepaid period).

When you cancel a plan:

• You keep everything until the end of the period you paid for. Nothing changes before that date.
• After that, your published websites go offline (visitors see that the site is unavailable), and your AI agents, workflows, scheduled jobs and email campaigns stop running. Client accounts of an agency pause the same way when the agency's plan ends or moves below Pro.
• Your data is kept, not deleted: websites, contacts, deals, orders, bookings, email lists, workflows, AI agents and their memory, funnels, messages and your AI creations stay in your account for at least 90 days after your plan ends. Pick a plan again within that time and everything comes back exactly as it was, with your sites online again.
• You can download all of it, any time, even after your plan ends: sign in and open Plans & Billing → Download all my data. You get one zip with spreadsheets (contacts, deals, tasks, orders, bookings, invoices, loyalty points, email list), every website's files ready to host anywhere, and everything else in full. Links to AI creations work for 5 years; save the files you want to keep.
• Deleting your data: after 90 days we may delete the data of an account with no active plan. Email support@b2bagencyliveai.com from your account's address any time to have it deleted sooner.
• Unused AI credits from your plan end with the plan. Top-up and wallet credits follow sections 12A and 12C.

14. Governing law

These Terms are governed by the laws of the State of New York, USA. If you are a consumer, you keep any rights you have under the laws of the country where you live.

15. Changes to these Terms

We may update these Terms. If we make a material change, we will update the date at the top and, where appropriate, notify subscribers by email or in the workspace. Continuing to use the Service after a change means you accept the new Terms.
